These Terms of Service ("Terms") govern your access to and use of the empetec.com website and any related services (collectively, the "Services") provided by Empetec, LLC ("Empetec," "we," "us," or "our"). By using the Services, you agree to these Terms.

1. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that could disable, overburden, damage, or impair the site, or interfere with any other party's use of the Services.

2. Intellectual property

All content on the Services — including text, graphics, logos, images, and software — is owned by Empetec or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

3. Client engagements

Any consulting or service engagement between you and Empetec is governed by a separate written agreement or statement of work (SOW). In the event of a conflict between these Terms and a written SOW, the SOW controls.

4. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Empetec disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of liability

To the fullest extent permitted by law, Empetec will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Services.

6. Indemnification

You agree to defend, indemnify, and hold harmless Empetec, its officers, and employees from any claims, damages, or expenses arising out of your violation of these Terms or misuse of the Services.

7. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Kendall County, Texas.

8. Changes to these Terms

We may modify these Terms at any time. If we do, we will update the "Last updated" date above. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
